Jennifer always wanted to help people and, for 30 years, she has been helping clients complete their public finance, commercial lending, real estate, and corporate transactions.
Jennifer says law is “a practice” – a fascinating learning experience that allows her to develop long term relationships with clients and other attorneys while preparing her for the next high-stakes, complex deal. Early on in her practice, she had many opportunities in public finance, commercial contracts, commercial lending, real estate development and construction which allowed her to develop valuable expertise and relationships with people in these transactional areas.
And for most of her career, Jennifer has served as bond, underwriter’s, disclosure, borrower’s, bank, or issuer’s counsel in hundreds of tax-exempt and taxable bond financings. She works closely with her clients in a variety of general obligation and revenue bond financings including governmental, single- or multi-family housing, state revolving fund, hospital and health facilities, master lease certificates of participation, commercial paper, airports, convention facilities, schools, and qualified section 501(c)(3) . Jennifer’s corporate transactional experience includes advising and counseling lenders and borrowers in major secured and unsecured transactions.
Her real estate transactional experience encompasses the sale, acquisition, finance, condemnation, development, and leasing of real property. She regularly represents sellers, buyers, lenders, landlords, and tenants. Jennifer advises and counsels private and public entities on major development/construction projects, including property acquisition, condemnation, environmental, drafting and negotiating construction contracts, MBE/WBE Initiatives, zoning, special use permits, and other governmental approvals.
Jennifer’s clients, from multi-national corporations and privately held companies to non-profit entities, rely on her to draft and negotiate their vendor agreements, capital equipment and purchase agreements, professional service agreements and licensing agreements. She also represents global manufacturers and Fortune 500 companies on all aspects of commercial transactions; developing and negotiating management contracts, statements of work and purchase orders; providing guidance on delegation and implementation processes; creating templates and form agreements; providing on-going analysis and strategy for continuous improvement; and evaluating business and legal risks to guide her clients to effective and efficient risk management plans.
